Adora Solution - Terms and Conditions

Thank you for choosing Adora Solution! We aim to provide clear, straightforward, and effective services, and we want you to feel confident in our partnership. Below are the terms that will guide our work together:
1. Payment Terms

For Premium Packages: We require a 60% advance payment to get started. The remaining 40% is due before we deliver the final services.

For Other Packages: We require 100% full advance payment before starting work.

The minimum requirement to work with us is 2 months, followed by a 6-month contract upon mutual satisfaction.

Our package fees cover the cost of our agency's services only, including campaign setup, strategy, and creative work. They do not include platform-specific ad spend (e.g., Meta Ads, Instagram Ads, etc.).

Once services have begun, we do not provide refunds, as we begin work right away.

2. Ad Budget

* You are responsible for allocating and funding your advertising budget directly on platforms (e.g., Meta, Instagram, etc.).

* Adora Solution is not responsible for any platform-based payment failures or deductions.

3. Revisions and Edits

* We include two rounds of revisions for creatives and campaign strategies to ensure everything aligns with your vision.

* A revision round includes minor text changes, color adjustments, and layout tweaks. Major scope changes or complete redesigns will be considered as additional work.

* Additional rounds of revisions will incur extra charges, and any changes to the agreed-upon scope may result in delays and additional fees.

4. Timeline

* We'll discuss and confirm timelines for campaign setup and delivery at the start of the project.

* Work begins within 24-48 hours of receiving the advance payment.

* Clients are expected to provide feedback and approvals within 48-72 hours to maintain project timelines.

* Please note that delays in receiving client materials or approvals may impact the timeline, and we cannot be held responsible for these delays.

5. Client Responsibilities & Communication

* To ensure a smooth process, we'll need access to the necessary platforms (e.g., Meta Ads Manager, page admin rights) and materials (e.g., branding, content, logos).

* Clients must own all rights to materials they provide (images, videos, logos, content). Adora Solution is not responsible for any copyright infringement related to client-provided materials.

* Timely responses and cooperation from the client are critical for smooth execution. Delays in approvals, providing content, or granting access may affect results, for which Adora Solution is not responsible.

* All campaign optimizations are done based on available data, and clients are expected to provide accurate business/product information for best outcomes.

* Delays due to missing or incomplete information from your side may impact the campaign execution, and we kindly ask for your cooperation.

6. Confidentiality & Data Protection

* Both parties agree to treat all shared business information with the utmost care. Everything shared between us remains confidential and is used solely for the purpose of delivering the agreed services.

* Adora Solution reserves the right to showcase client work (campaigns, creatives, results) in our portfolio, case studies, and marketing materials unless the client explicitly requests otherwise in writing.

* Client data (ad account access, business information, and project files) will be retained for 3 months after contract completion, after which they will be permanently deleted from our systems.

7. Performance Disclaimer

* While we're committed to optimizing campaign performance, specific results (e.g., leads, sales, engagement) depend on various factors, including market conditions, platform algorithms, client input, product pricing, competition, and overall business environment.

* Campaigns typically require 30-60 days of testing and optimization to reach their full potential. Immediate results cannot be guaranteed.

* Adora Solution focuses on delivering quality leads, engagement, and brand visibility through strategic campaigns. However, final sales and conversions depend on factors beyond our control, including client's pricing, product quality, customer service, and market competition.

8. 2-Month Minimum Package Policy

* For the 2-month minimum engagement period, all rights (including ad account structure, campaigns, targeting strategies, ad creatives, and designs) are fully reserved by Adora Solution.

* Campaign data and creatives developed during this period are the intellectual property of Adora Solution and cannot be used, duplicated, or repurposed by the client without prior written consent.

* Upon successful completion of the 2-month period and continuation into the 6-month contract, ownership terms will be governed by Section 12 (Ownership).

9. Termination

* Either party may choose to terminate the agreement with a 15-day written notice.

* Termination is only permitted after the completion of the minimum 2-month engagement period.

* If termination happens before the 6-month contract completion, the client will be charged for all services rendered up to that point, and no refunds will be provided for advance payments made.

* Upon termination, all ongoing campaigns will be paused, and access to creatives, strategies, and materials will be revoked until ownership terms are settled as per Section 12.

10. Cancellation Policy

* If the client decides to cancel the project mid-execution, no refunds will be provided for any payments already made.

* Cancellation charges will apply based on the work completed and resources allocated up to the cancellation date.

* The client will be invoiced for all completed work, ongoing campaigns, and any third-party costs already incurred.

11. Liability

* Adora Solution is not liable for any indirect or unforeseen damages resulting from our services. Our total liability is limited to the total fees paid by the client for the specific project or contract period.

* Clients are responsible for ensuring the legal and ethical compliance of their ad content, campaigns, and business practices. This includes compliance with platform policies (Meta, Instagram, Google, etc.).

* Adora Solution uses third-party platforms and tools (Meta Ads, Instagram, design software, analytics tools, etc.) to deliver services. We are not liable for failures, outages, data loss, or issues caused by these external services.

* Clients are responsible if their ads or content violate any platform policies, resulting in account suspension, ad rejection, or other penalties.

12. Ownership

For Premium Packages:

* Upon full payment completion, complete ownership of all creative assets, campaigns, strategies, and materials transfers to the client.

* The client has full rights to use, modify, and repurpose all deliverables as they see fit.

For Other Packages:

* Adora Solution retains ownership of all creative assets, reports, strategies, and materials.

* The client receives a limited license to use the materials for their business purposes only during and after the contract period.

* The client cannot resell, repurpose for other businesses, or share the materials with third parties, including competitors.

General Terms:

* Adora Solution retains the right to showcase client work in portfolios, case studies, and marketing materials even after the contract ends, unless explicitly restricted in writing by the client.

* If payments are not completed, Adora Solution retains full ownership, and the client's usage rights are revoked immediately.

13. Force Majeure

* We cannot be held responsible for delays or failures in service delivery due to factors beyond our control, such as platform outages, natural disasters, pandemics, government regulations, policy changes, or unforeseen technical issues.

* In the event of force majeure, the project timeline will be paused and extended accordingly. No refunds will be provided for work already completed.

14. Rush/Urgent Work Fees

* If the client requires expedited delivery or rush work outside the agreed timeline, additional fees will apply.

* Rush fees will be determined on a case-by-case basis depending on the urgency, scope of work, and resource allocation required.

* Rush requests must be communicated in writing and agreed upon by both parties before work begins.

15. Referral & Testimonial Rights

* Adora Solution reserves the right to request testimonials, reviews, and referrals from satisfied clients.

* Clients are encouraged to provide honest feedback and refer our services to others if they are satisfied with our work.

* Testimonials and reviews may be used in our marketing materials, website, and social media with the client's permission.

16. Non-Compete Clause

* During the contract period and for 1 year after contract termination, the client agrees not to directly hire, solicit, or engage any Adora Solution team members (designers, editors, marketers, strategists, etc.) for employment or freelance work.

* This clause protects our agency's investment in training and developing our team.

* Violation of this clause may result in legal action and financial penalties equivalent to 12 months of the employee's salary or contract value, whichever is higher.

17. Dispute Resolution

* In the event of any disagreements or disputes, both parties agree to first attempt resolution through mutual discussion and negotiation in good faith.

* If mutual resolution is not achieved within 30 days, the matter will be subject to the jurisdiction of Surat courts, Gujarat, India.

* Both parties agree to comply with the decisions made by the appropriate legal authorities in Surat.

18. Amendments

* Adora Solution reserves the right to update these terms and conditions at any time.

* Any amendments or updates to these terms will apply only to new contracts signed after the amendment date.

* Existing clients will continue to be governed by the terms and conditions agreed upon at the time of their contract signing.

* Clients will be notified in advance of any significant changes to our terms and conditions.

19. Advance Payment Acknowledgement

By making the advance payment, you confirm that you have read, understood, and agreed to all the terms outlined in this document.
